Terms of Service

Last updated: January 2026

These Terms govern your use of Mercury. By creating an account, or by using any feature of the Mercury web app or API, you agree to be bound by them. If you disagree with any part, do not use the service.

1. The service

Mercury provides software tools for independent artists, producers, and small labels — royalty aggregation, split-sheet drafting, licensing, release planning, sync marketplace listings, and related utilities. We are a software company. We are not a record label, publisher, PRO, or law firm.

2. Your account

  • You must be at least 16 (or the age of digital consent in your country) to create an account.
  • You are responsible for keeping your credentials secure and for all activity under your account.
  • One account per person or legal entity. Sharing accounts is not permitted on paid plans.

3. Your content

You retain all intellectual property rights in the music, artwork, documents, and metadata you upload ("Your Content"). Mercury never claims ownership of your masters, compositions, or brand.

You grant Mercury a limited, non-exclusive, worldwide licence to host, store, transmit, and display Your Content solely to provide the service to you and the collaborators you invite. This licence terminates when you delete the content or your account.

4. Acceptable use

  • Do not upload content you do not own or have written clearance to distribute.
  • Do not use the service to distribute unlawful, defamatory, or infringing material.
  • Do not attempt to reverse-engineer, scrape at scale, or overwhelm the service.
  • Do not use the service to impersonate another artist, entity, or Mercury itself.

Violations may result in suspension or termination without refund.

5. Payments, plans, and cancellation

  • Paid plans renew automatically on a monthly or annual cadence at the rate shown at checkout.
  • You can cancel any time from account settings. Access continues until the end of the paid period.
  • We do not issue refunds on partial months. Annual plans may be prorated at our discretion for exceptional cases.
  • Taxes are charged where required by law.

6. Templates and generated documents

Split sheets, licences, and other generated documents follow standard industry structure. They are informational, not legal advice. For deals above a modest value, or for anything with recording contracts, advances, or long-term rights transfers, engage an entertainment lawyer.

7. Third-party services

The service may link to or integrate with third-party services (DSPs, PROs, payment processors, OAuth providers). Those services have their own terms; Mercury is not responsible for their availability or behaviour.

8. Availability & modifications

We aim for high uptime but do not guarantee an uninterrupted service. We may add, change, or remove features. Where a change is materially adverse, we give notice by email.

9. Termination

You may terminate at any time by deleting your account. We may suspend or terminate accounts that violate these Terms, are used for fraud, or are inactive for over 24 months. On termination, your data is deleted per the Privacy Policy.

10. Disclaimer & liability

Mercury is provided "as is" and "as available." To the maximum extent permitted by law, Mercury disclaims all implied warranties and is not liable for indirect, incidental, or consequential damages. Our total aggregate liability is limited to the greater of ₹5,000 or the fees you paid to Mercury in the preceding 12 months.

11. Governing law

These Terms are governed by the laws of India. Any dispute is subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka.

12. Changes

Material changes are announced by email at least 30 days before they take effect. Continuing to use the service after the effective date constitutes acceptance.
